新西兰FSP牌照注册介绍

根据2008年9月28日通过的新西兰金融争议解决法案，凡是在新西兰境内提供金融相关领域的个人及团体组织，均需要进行合法的注册与申报。自2010年8月16日开始，新西兰注册处接受金融服务供应商的登记申请，2010年12月1日，新西兰强制性执行金融供应商监管机制。任何人对新西兰境内或海外客户提供金融服务均需在新西兰FSP注册。

注册新西兰公司，需要按照新西兰公司法和新西兰管理法的有关规定进行登记。在新西兰注册公司，需要满足的如下条件是：

1）公司名称，需英文；

2）公司需发行至少1股；

3）至少一名股东；

4）至少一名董事，且至少一名董事满足如下条件：

　　4-1）居住在新西兰；

　　4-2）居住在澳大利亚，且是澳大利亚公司的董事。

　　原文表述如下：

Essential requirements

A company must have—

(a)

a name; and

(b)

1 or more shares; and

(c)

1 or more shareholders, having limited or unlimited liability for the obligations of the company; and

(d)

1 or more directors, of whom at least 1 must—

(i)

live in New Zealand; or

(ii)

live in an enforcement country and be a director of a body corporate that is incorporated in that enforcement country under a law that is equivalent to this Act.

任何公司或个体，若满足如下要求：

在新西兰有实际经营地点，或居住于新西兰的个人；

从事金融服务；

需要注册FSP才能经营的服务。

　　均需要在新西兰注册FSP.

　　这里所称的金融服务的概念，是指的Financial Service Providers (Registration and Dispute Resolution) Act 2008 第五条的规定。其中有一些例外，这些例外在该法案第七条也予以了排除，例如新西兰律师和会计师所提供的部分服务。
